Companies planning to trade directly, hire local employees or open a Malaysian office will usually need to register a local company with the Companies Commission of Malaysia or Suruhanjaya Syarikat Malaysia (SSM). Types of Malaysian business entity structures for foreign companies
International companies expanding into Malaysia typically choose one of the following structures:
Private Limited Company (Sdn Bhd)
This is the most common route for foreign investors. A Sdn Bhd offers limited liability and works well for small to medium-sized operations. It is treated as a separate legal entity for tax and regulatory purposes. At least one director must ordinarily reside in Malaysia.
Some sectors allow 100% foreign ownership of Sdn Bhds. Where permitted, this gives complete control over local operations with the same limited liability protections; it’s worth noting, however, that sector-specific restrictions may apply in industries such as logistics, retail and telecommunications.
Branch Office
A branch is an extension of an overseas parent company. It can conduct business in Malaysia once registered with the Companies Commission of Malaysia (SSM). A branch is not a separate legal entity, so the parent company remains directly liable for its obligations.
Representative Office (RE)
A representative office exists for non-commercial activities such as market research, liaison work and planning. It cannot generate revenue or sign contracts in Malaysia. This is often used by companies that want a small footprint while assessing long-term potential.
